Terms and Conditions — what we owe you, and what you owe us.

These terms cover quotations, milestone payments and who owns what at the end. The short version of the last one: the code and the repository are yours from the first commit, and nothing here quietly takes that back.

A starting draft, and we would rather say so.

This is a starting draft. It is written to match how this studio actually works rather than copied from a template, but it has not been reviewed by a qualified UAE lawyer and it is not the finished document. Qualified counsel must read it before launch.

13 values below are still unset — the trade licence, the registered address and the commercial terms only the business can decide. Each is marked like this where it appears, rather than filled with a plausible default. A number invented here would be indistinguishable from a decision somebody made.

1. Who we are

Zenoweb designs and builds websites in Dubai, United Arab Emirates. In these terms, “we” and “us” mean the entity below, and “you” means the company that engages us.

Trading name
Zenoweb
City
Dubai, United Arab Emirates
Office hours
Monday – Friday, 9:00 – 18:00 GST

Not published yet: legal entity, trade licence, registered address, email. Each of these identifies the contracting entity, so it appears here once confirmed rather than being filled with something you cannot check.

2. What these terms cover

They cover use of this website, and they form the baseline for work we do for you. They are not the whole agreement on their own.

Every project starts with a written scope — what is included, what is not, the sequence, and the price. Where that document and these terms disagree, the signed scope wins for that project. These terms fill the gaps it does not address, which is most of them, because a scope document is about the work rather than about liability or notice periods.

Nothing on this website is an offer capable of acceptance. Prices shown are indicative ranges for planning, and a project is priced only in a written quotation for that project.

3. What we do, and what we do not

Web design, web development, and website care. Interface design, custom builds, WordPress, e-commerce, web applications, integrations, and the updates, monitoring, speed work and hosting that keep a site running after launch.

We do not sell ongoing search-engine-optimisation campaigns, branding, or social media. Sites are built so search engines can crawl and understand them — clean URLs, sensible structure, schema and speed — because that is engineering and it belongs to whoever writes the code. Keyword strategy, content programmes and link outreach are not services we offer, and no clause here should be read as promising a ranking, a volume of traffic, or a level of revenue.

The three ways of engaging us — a fixed-scope project, a dedicated squad, or a care plan — differ in how work is defined and billed, not in the standard it is done to.

4. Quotations

A quotation costs nothing and commits you to nothing. The scoping conversation, the written scope and the indicative price are free, and the document is yours to take elsewhere if you decide to.

A quotation is valid for value not set yet: quotation validity period from its date, after which we may re-price it — supplier costs, licence fees and exchange rates move, and a quotation held open indefinitely is a promise about a market rather than about our work.

Where something material is still unknown at the point of quoting, it is written down as a stated assumption rather than absorbed silently into the price. If an assumption turns out to be wrong, that is a change to scope under section 7, and it is quoted before anything is done about it.

Work beyond scoping is quoted separately: auditing an inherited site in depth, mapping data for a migration, or technical discovery on a platform build. We would agree that with you before starting it.

5. Fees, VAT and payment

Prices are quoted in UAE dirhams and exclude VAT, which is charged at 5% where it applies.

Payment is in milestones. Nothing is due as a single lump at signature, and the milestone schedule is set out in the scope document for each project so that what triggers each invoice is written down before the work starts rather than argued about afterwards. Retainers — care plans and dedicated squads — are invoiced monthly, at value not set yet: retainer billing point.

Invoices are payable within value not set yet: payment period of the invoice date. Late payment may attract interest at value not set yet: late payment interest rate, and we may pause work on an overdue account after giving you written notice and a reasonable chance to settle it.

What we will not do, and this is deliberate rather than an oversight: we do not hold your property hostage over an invoice. Accounts, repositories and design files are in your name from day one (section 8), and an unpaid invoice is pursued as a debt, not by locking you out of something that is already yours. Counsel should confirm the wording, but the position is not up for negotiation — it is the promise the rest of this site is built on.

Indicative ranges for a typical engagement, and what moves a project between them, are published rather than hidden. Third-party costs — licences, subscriptions, hosting beyond what we manage, stock imagery — are yours and are either billed at cost or bought in your name.

6. What we need from you

Three things, and content is the one that decides whether a project runs to time. Content is the most common cause of delay on every project of this kind, which is why we start collecting it in the first week rather than the last.

Content and materials
Copy, images, logos, product data and anything else the site has to carry, in the format agreed and by the date in the schedule. You confirm you have the right to use everything you send us, and you indemnify us against a claim that you did not.
Decisions and approvals
A named person who can approve work, and approval within the windows in the schedule. Where an approval slips, the dates after it move with it — we will tell you at the time rather than at the end.
Access
Timely access to systems the work touches: domain registrar, existing hosting, CRM, payment gateway, analytics. Where we cannot get access, the affected work is out of scope until we can.

If a project stalls on your side for a prolonged period, we may invoice work completed to that point and re-schedule the remainder against our availability rather than hold a slot open indefinitely. The stall period after which that applies is value not set yet: project stall period.

7. Changes to scope

Changes are quoted before they are done. They are never absorbed silently and then invoiced as a surprise at the end, which is the single most common way a fixed-price project turns into an argument.

A change is anything outside the written scope: a new template, a new integration, a redesign of something already approved, or a requirement that arrives after the phase it belonged to. You get the price and the effect on the date before deciding, and you are free to decide against it.

Revisions inside the scope are not changes. The scope document says how many rounds of review each phase carries, and ordinary iteration within them is simply the work.

8. Intellectual property and ownership

You own what we make for you, and you own it from the start rather than at the end. Every account is registered in your name on day one — domain, hosting, repository, analytics, design files — so leaving us requires no negotiation, no handover fee and no export request.

Who owns each part of the work, from when, and on what terms — including the parts nobody can transfer because they belong to a third party.
What it isWho owns itFrom when, and on what terms
The source code we write for your project, and the repository it lives inYouFrom the first commit. The repository is created in your account, not ours, and we work inside it
Design files — the Figma project, its components and its prototypeYouFrom the start. The file lives in your Figma account
Domain, hosting, analytics, search console and any other account the site needsYouRegistered in your name from day one. We hold access, never title
Copy, images and data you supplyYou, or whoever you licensed it fromUnchanged by anything here. You warrant you have the right to use it
Open-source libraries, frameworks and packages the build depends onThe original authorsLicensed to you under their own licences, which we list at handover. Nobody can transfer these, including us
Licensed third-party components — themes, plugins, fonts, stock imagery, paid APIsThe licensorLicensed on the licensor's terms and bought in your name where the licence allows. Ongoing fees are yours
Our own general know-how, internal tooling and reusable non-specific componentsUsLicensed to you perpetually and irrevocably for use in your project. Not exclusive to it, because the same tooling is how the next project gets built

The last row is the only carve-out and it is a narrow one: it covers generic internal machinery, never anything designed or written for you. If a component was made for your project it is in the first row, not the last.

We would like to show finished work publicly and describe what was hard about it. If you would rather we did not, say so and we will not — no clause here makes your project a portfolio piece without your agreement, and no figure about your business is ever published unless you supplied it and stand behind it.

9. What we warrant, and what we do not

We warrant that the work is carried out with reasonable skill and care, by people competent to do it, and that what we deliver matches the written scope it was quoted against.

For value not set yet: post-launch defect window after launch we fix defects in what we built at no charge — a defect being something that does not do what the scope said it would. That is not the same as a change: a thing that works as specified but is now wanted differently is a change under section 7, and it is quoted.

We do not warrant that a website will be uninterrupted or error-free, that it will rank in any position, attract any volume of traffic, or produce any level of revenue. Nobody can warrant those honestly, and an agency that does is selling something it cannot deliver. Nor do we warrant third-party software, services or networks that we did not write and do not control.

Browser, platform and third-party APIs change after launch. Keeping a site working against those changes is what a care plan is for; without one, that work is quoted as it arises.

10. Limitation of liability

Our total liability under an engagement is capped at value not set yet: liability cap. Neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, data, goodwill or anticipated savings, however caused.

Nothing here excludes or limits liability that cannot lawfully be excluded or limited under UAE law — including liability for fraud, or for death or personal injury caused by negligence. Where a clause in this section is unenforceable, the rest of it still stands.

The cap is the single most commercially significant number in this document and it is deliberately unset. The usual position is a cap at the fees paid under the engagement, but choosing it is a decision for the business and its insurer, not a default to inherit from a template.

11. Confidentiality

Both ways. Anything either of us learns about the other's business in the course of the work stays between us, is used only for the work, and is not passed on without permission.

Briefs are read by the people who would do the work. They are not added to a sales list, sold, or shared outside Zenoweb. If yours is commercially sensitive, say so before you send the detail and we will sign a non-disclosure agreement first — yours or ours, either is fine.

This does not cover information that is already public, that either of us already held, or that the law requires us to disclose. Personal data is governed by our privacy policy as well as by this section.

12. Term and termination

A project runs until the scope is delivered. A care plan runs monthly and cancels on 30 days' notice, from either side, with no exit fee and no minimum beyond the notice. A dedicated squad runs for a minimum of three months and then continues monthly on the same 30 days' notice.

Either of us may end an engagement immediately if the other commits a material breach and does not put it right within value not set yet: breach remedy period of being asked to in writing.

On termination you pay for work completed and costs already committed, and that is the whole of it. Everything already in your name stays in your name — the repository, the accounts, the design files — because none of it was ever ours to withhold. We will hand over anything outstanding and answer reasonable handover questions for a short period afterwards.

13. General

Force majeure
Neither of us is liable for a delay caused by something genuinely outside our control. We will tell you as soon as we know, and what we will not do is use the clause to explain away ordinary slippage.
Subcontracting
The person who scopes your project is the person who builds it. Where a specialist is genuinely needed we will tell you who and why beforehand, and we remain responsible for their work as if it were ours.
Assignment
Neither of us may transfer an engagement to somebody else without the other's written agreement, which will not be withheld unreasonably.
Notices
In writing, by email to the addresses in the scope document, and treated as received on the next working day — which here means Monday to Friday.
Severability
If a clause is unenforceable it is severed and the rest continues in force.
Whole agreement
The signed scope and these terms are the agreement between us. Anything said in a meeting and not written down is not part of it, which protects both of us equally.

14. Governing law and jurisdiction

We are based in Dubai and the work is carried out from the United Arab Emirates. The law governing these terms, and the courts with jurisdiction over a dispute about them, are value not set yet: governing law and competent courts.

This is left open on purpose. Which forum applies depends on where the company is licensed — onshore Dubai, DIFC, or another free zone — and those are materially different regimes with different courts, not interchangeable wording. Naming one before the licence is confirmed would be a guess dressed as a clause, and it is the guess most likely to matter on the day it is tested.

Before either of us goes near a court, we will talk. Most disputes on projects like these come from an expectation that was never written down, and the fix for that is a conversation, not a filing.

15. Changes to these terms

The date under the title is the version in force for new engagements. A project already under way keeps the terms it started on — we do not change the deal underneath a live contract.

Questions about anything here go to the same place as everything else: get in touch and you will get an answer from a person, not a form letter.
